1. INTRODUCTION

This Terms of Sale Agreement (“Terms of Sale“) is entered into by and between you (“Subscriber” or “You“) and USA Publishing (“ USA Publishing,” “Company,” “we,” or “us“) regarding your subscription to our Los Angeles Post online website service (“Service“). By subscribing to the Service, you agree to these Terms of Sale, in addition to our Terms of Use and Privacy Policy which are hereby incorporated by reference into this Agreement.

Subscriptions are available to individuals who are of legal age to form a valid contract under the laws of their country of residence. By subscribing to the Service, you represent and warrant that you meet the legal age requirement and have the capacity to enter into this Agreement under the laws of your country of residence.

Subscriptions to the Service are personal to the subscriber and may not be sold, assigned, transferred, or otherwise conveyed to any other person or entity without the prior written consent of Company. Any attempt to sell, assign, transfer, or convey a subscription without the Company’s consent shall be null and void.

By clicking “Subscribe,” “PayPal,” or any similar button at checkout, you acknowledge that you have read and agreed to these Terms of Sale, our Terms of Use, and our Privacy Policy, and you authorize recurring billing in accordance with the subscription plan you selected.

For clarity, the Service does not involve delivery of physical goods or tangible items. All content is provided in digital form only.

2. ACCESS TO WEBSITE CONTENT

A subscription is required to access certain content on the Website. Although access to the Website is available without a subscription, certain content may be restricted or unavailable. You acknowledge and accept that without a subscription, your access to some content may be limited. The Company retains the right to alter the content available without a subscription at any time without providing notice.

When you choose to subscribe, the subscription fee will be clearly stated on the Website. Any available discounts will be communicated at the time of subscription and will not be applied retroactively. All subscription fees are denominated in United States dollars (USD). If you are located outside the United States, your payment may be processed by your financial institution in your local currency using their applicable exchange rate at the time of the transaction. We do not control or guarantee the exchange rate, currency conversion, or any foreign transaction fees that may be applied by your bank, card issuer, or payment provider. Company may offer free or discounted trials for a certain period of time, which will be disclosed to you at sign up if available.

3. TRIALS

From time to time, the Company may offer free trials, discounted introductory periods, or other promotional introductory offers (each, a “Trial Offer”). Trial Offers may vary in duration, price, introductory charges, authorization amounts, or billing structure. The specific terms applicable to any Trial Offer will be disclosed to you at the time you enroll.

For certain Trial Offers, the Company may place an authorization hold on your payment method at the time of enrollment. An authorization hold is not a charge and does not result in any funds being collected by the Company unless and until you do not cancel before the end of the trial period. If you cancel during the applicable trial period, the authorization hold will be voided or released by your financial institution according to its policies, and no amount will be captured. If you do not cancel before the end of the trial period, the Company may capture and settle the authorized amount and your paid subscription will begin in accordance with these Terms of Sale.

Trial Offers automatically convert into a paid, automatically renewing month-to-month subscription at the end of the trial period unless you cancel before the trial ends. By enrolling in a Trial Offer, you authorize the Company to use your payment method to process the applicable subscription charges upon the conclusion of the trial period, including by capturing any prior authorization hold.

Eligibility for any Trial Offer is determined by the Company in its sole discretion. The Company may limit, modify, or discontinue any Trial Offer at any time.

BY SIGNING UP FOR A TRIAL OFFER, YOU AGREE THAT UNLESS YOU CANCEL BEFORE THE END OF THE TRIAL PERIOD, YOUR TRIAL WILL AUTOMATICALLY CONVERT INTO A FULL, MONTH-TO-MONTH SUBSCRIPTION AT THE PRICE DISCLOSED AT CHECKOUT. IF APPLICABLE TO YOUR TRIAL OFFER, YOU AUTHORIZE US TO PLACE AN AUTHORIZATION HOLD ON YOUR PAYMENT METHOD AT THE TIME OF ENROLLMENT, WHICH IS NOT A CHARGE. IF YOU CANCEL DURING THE TRIAL PERIOD, THE AUTHORIZATION HOLD WILL BE VOIDED AND YOU WILL NOT BE CHARGED. IF YOU DO NOT CANCEL BEFORE THE END OF THE TRIAL PERIOD, YOU AUTHORIZE US TO CAPTURE AND SETTLE THE AUTHORIZED AMOUNT AND BEGIN YOUR PAID SUBSCRIPTION. IF YOU DO NOT AGREE TO THESE BILLING TERMS, YOU MUST CANCEL BEFORE THE TRIAL PERIOD ENDS.

4. BILLING OF SUBSCRIPTIONS

When subscribing to our Service, you agree to an automatic-renewing subscription that incurs regular charges at the chosen frequency (i.e., monthly or yearly) until you opt to cancel in the manner set forth in Section 6. Your initial subscription cost will be billed either at the time you subscribe or upon the conclusion of your free trial if you entered into a free trial. You must cancel your subscription to avoid future charges.

Your subscription will continue with automatic renewals at the chosen intervals, incurring charges at the rate disclosed to you at sign-up, unless prior to the end of the current subscription period, one of the following occurs:

1. You deactivate your account;
2. You cancel your subscription in accordance with Section 6 below;
3. We opt not to extend your subscription;
4. The Terms of Sales are terminated by us as set forth in these Terms of Sale.

All subscription renewals will continue to be billed using the payment method you authorized at sign-up, including debit or credit card or PayPal, until you cancel.

If you subscribe using PayPal, you expressly authorize us to initiate recurring charges through your PayPal account in accordance with PayPal’s terms and your subscription agreement with us.

More information regarding subscription cancellation can be found in Section 6 below. Please note, we reserve the right to modify subscription terms or prices at our discretion at any time. If we modify the subscription terms or prices, we will provide you with notice on our Website or by sending you an email to the email address you used to register for our Service. Your continued use of the Service following such changes indicates your acceptance of the new fees.

Should you redeem a gift subscription, you may have the opportunity to switch to a self-renewing subscription once your gift period expires. Your payment details can be managed and viewed anytime via the Account section on our website.

Please be aware that subscriptions or purchases made via third-party platforms (like Google Play or iOS) are overseen by the corresponding third-party. These third party platforms manage the collection of subscription fees, supervise the subscription, and provide us with updates on subscription accounts purchased via their platform. While we don’t have the capacity to start, terminate, or reimburse subscriptions made through a third-party on your behalf, we can modify your subscription rights associated with such third-party subscriptions (for instance, we can discontinue your subscription if you have cancelled it via a third-party).

5. CHARGES TO YOUR DEBIT/CREDIT CARD

Upon subscribing, you authorize USA Publishing to charge your payment method for the subscription fee along with any other charges you may incur in connection with your use of the Website. You bear responsibility for all charges made under your account, inclusive of applicable taxes, fees, and surcharges. If your payment method cannot be charged for any reason, your subscription may be suspended or terminated, resulting in loss of access to the Website and its content.

Unless otherwise specified at the time of checkout, all fees are payable in U.S. dollars. For subscribers located outside the United States, subscription fees may be displayed and processed in your local currency. Currency conversions, if applicable, will be performed using exchange rates sourced from a third-party provider. While we strive to ensure displayed pricing in local currency reflects the amount ultimately charged, the final charge may differ slightly due to exchange rate fluctuations, processing time, or third-party financial institution involvement. By subscribing, you acknowledge and agree that actual charges may vary from the displayed price and that USA Publishing disclaims liability for any exchange rate differences, rounding variances, or foreign transaction fees imposed by your payment provider.

You agree to provide us with valid, up-to-date, and complete debit/credit card, contact, and billing details. You authorize us to bill your debit/credit card monthly or yearly depending on which subscription frequency you select at sign up. Charges will appear on your credit card statements as having been charged by “LAPost.com.”

You agree that USA Publishing reserves the right, in its sole and absolute discretion, to adjust the subscription fee to a lower amount at any time. By continuing your subscription, you accept any such adjustments to the subscription fee made by USA Publishing. This agreement acknowledges your understanding and acceptance that the subscription fee may be lowered from the initially agreed amount.

All charges will appear in U.S. dollars (USD). You acknowledge that your financial institution may convert the amount to your local currency and apply additional fees or rounding adjustments. USA Publishing is not responsible for any currency conversion rates or foreign transaction fees applied by your payment provider.

6. CANCELLING YOUR TRIAL OR SUBSCRIPTION

Your trial or subscription can be cancelled at any time via your online Account, by contacting us via email at [email protected], or by calling our toll-free customer support number (888) 488-2023. For those acting as authorized representatives or holders of power of attorney for a subscriber, all relevant documents evidencing your association with the subscriber must be attached to the cancellation request. Third-party subscription cancellation or bill negotiation service providers cannot cancel your account as we verify the identity of all subscribers before processing cancellation requests. All cancellation requests must be initiated by a human; we do not accept or process cancellation requests initiated by artificial intelligence systems, bots, or any form of automated system.

Upon cancellation, if you are within your trial period, the trial will continue until its scheduled end date, regardless of the trial end date. If you cancel after your trial end date, your subscription will cease at the end of the billing period for which you have already been billed. No refunds will be provided for partially used periods. 

7. ELECTRONIC NOTIFICATIONS

You agree to receive all notifications, communications, and updates electronically from USA Publishing. Such electronic notifications may include, but are not limited to, subscription confirmations, billing statements, changes to the Terms of Use, Terms of Sale, Privacy Policy, and other important notices. You acknowledge and agree that electronic notifications will be considered as written communication and satisfy any legal requirement that such communications be in writing. You further agree that it is your responsibility to maintain a valid and up-to-date email address with USA Publishing for the purpose of receiving electronic notifications. Any electronic notification sent to the email address on record shall be deemed received by you on the date of transmission. If you wishes to withdraw their consent to receive electronic notifications, they must notify USA Publishing in writing.

8. THIRD PARTIES

If you choose to purchase a subscription to our Service through a third-party platform, please note that these Terms of Sale may not apply and terms and conditions of your subscription will be governed by the contract between you and the third-party platform. Company is not responsible for initiating, terminating, or refunding subscriptions made through a third-party platform on your behalf. However, we reserve the right to modify your subscription rights associated with such third-party subscriptions, including discontinuing your subscription if you have cancelled it via a third-party.

9. CANCELLATION AND NO REFUND POLICY

Subscriptions can be terminated at any time by accessing your Account settings, calling our toll-free customer support number at 888-488-2023, or sending an email to [email protected]. The termination will take effect at the end of the then-current trial or subscription period. There are no refunds for periods partially used.

Refunds are generally not offered. However, the Company may, in its sole discretion, review and consider refund requests for recent subscription charges following cancellation. Any refund or credit provided is voluntary, handled on a case-by-case basis, and does not obligate the Company to issue refunds in the future.

To request a refund for an amount charged directly by Company, you must contact us using any method provided on the Website and provide sufficient information for Company to identify the charges. Refunds are not automatic and will only be issued, if at all, at the Company's sole discretion. Company will not provide refunds for any charges that were not directly billed by Company to your payment method.

You are solely responsible for ensuring that you have sufficient funds in your bank account or payment method for Company to charge the fees for your use of the Service. Company will not reimburse or credit your account for any overdraft fees, insufficient fund fees, or similar charges imposed by your bank or other financial institution as a result of insufficient funds in your account. If you have disputed any charges with your bank, you forfeit your right to receive a refund from Company, even if the disputed charges fall within the three-month period for eligible refunds.

Company may modify this refund policy at any time without prior notice. Any changes will apply upon posting the updated Terms of Sale on the Website.

10. CHANGES TO TERMS OR SERVICES

We may modify the Terms of Sale, our Services, or our prices at our sole discretion. If we do, we will notify you by posting the changes on our Website or through other communications. If you continue to use the Services after we have posted a modification, you are indicating that you agree to be bound by the updated terms.

11. INTERNATIONAL SUBSCRIBER RIGHTS AND DISCLOSURES

If you reside outside the United States, you may have additional rights under local consumer protection or e-commerce laws. Nothing in these Terms of Sale limits any non-waivable rights you are entitled to under the laws of your country of residence.

• EU and UK Residents: You may have a right to cancel your subscription within 14 days of purchase. Contact [email protected] to request withdrawal.
  
• Canada Residents: Subscription terms and renewal policies are subject to applicable provincial consumer laws. Contact us if you require a French-language version of these Terms. Residents of Québec or other Francophone regions may request a French-language version of these Terms by contacting [email protected].
  
• Australia Residents: These Terms do not exclude, restrict, or modify your rights under the Australian Consumer Law.
  
  • India Residents: Users located in India may raise complaints with our designated Grievance Officer via [email protected], in accordance with the Indian Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

12. GOVERNING LAW AND LOCAL CONSUMER RIGHTS

This Agreement is governed by the laws of the State of California, U.S.A., without regard to its conflict-of-law principles. However, if you reside outside the United States, you may also be entitled to certain mandatory consumer protection rights under the laws of your country of residence. Nothing in these Terms of Sale affects any such non-waivable rights.

13. ENTIRE AGREEMENT

This Agreement, together with our Privacy Policy and Terms of Use, constitute the sole and entire agreement between you and USA Publishing with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.

Your use of the Website and your subscription to the Los Angeles Post are subject to the terms and conditions set forth in these Terms of Sale, Terms of Use, and the Privacy Policy. By subscribing, you acknowledge that you have read and understood these Terms of Sale and agree to be bound by them. If you do not consent to all the stipulations detailed in these Terms of Sale, including our practice of charging upfront each month for the complete monthly subscription fee and not offering pro-rata refunds, you may not access the Website or utilize any Services. By subscribing, you expressly recognize and consent to our practice of charging upfront each month for the complete monthly subscription fee and not offering pro-rata refunds.

14. SURVIVAL

The provisions of these Terms of Sale which by their nature should survive termination of your subscription or use of the Service shall survive, including but not limited to: Sections concerning payment obligations, cancellation, refund policies, dispute resolution, disclaimers, limitations of liability, governing law, and entire agreement. Any dispute resolution provisions, including arbitration, jurisdiction, or venue clauses contained in the Terms of Use, shall also survive termination of your subscription.
